Terms of Service

1. Overview
These Terms of Service (“Terms”) govern your use of the services provided by Lofi Analytics Ltd Co, operating as Coldhelm (“we,” “us,” or “Coldhelm”). By engaging our services, you agree to be bound by these Terms. Our services include the deployment, configuration, and security hardening of Mac Studio clusters for private AI inference, as well as ongoing managed care.
2. Services
Coldhelm provides on-site deployment and configuration of Mac Studio clusters purpose-built for private large language model inference. We travel to your location — worldwide — to install, harden, and integrate your cluster. Services may also include ongoing managed care, monitoring, updates, and support as described in the applicable service tier.
3. Payment Terms
Payment is processed through Stripe. Our services are offered in two categories:
- Implementation (one-time): Hardware procurement at cost plus service fees, due prior to deployment.
- Managed Care (recurring): Monthly subscription billed through Stripe for ongoing monitoring, updates, and support.
Scheduling is handled via Calendly. All fees are non-refundable once deployment has begun unless otherwise agreed in writing.
4. Customer Responsibilities
You agree to:
- Provide accurate and complete information during the consultation and onboarding process.
- Provide a suitable physical space for hardware installation, including adequate power, ventilation, and physical security.
- Ensure network readiness, including any firewall or VLAN configuration prerequisites communicated during kickoff.
- Grant temporary access to server rooms, network equipment, and system accounts as needed for deployment.
- Rotate credentials and review access after deployment is complete.
5. Third-Party Software
Our deployments utilize open-source inference software and related tooling. This software is developed and maintained by third parties, not by Coldhelm. We configure and optimize it for your environment but make no representations or warranties regarding the software itself. Third-party software is subject to its own license terms.
6. Hardware
Mac Studio hardware is procured at cost on your behalf. We are not the manufacturer. All hardware is covered by the manufacturer's warranty. Coldhelm is not responsible for hardware defects, failures, or warranty claims — these should be directed to Apple or the applicable manufacturer. We will assist with hardware-related issues to the extent covered by your Managed Care plan.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLDHELM'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO COLDHELM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. In no event shall Coldhelm be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or the theory of liability.
8. Disclaimer of Warranties
SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that your cluster will operate without interruption or error. AI inference systems involve complex software stacks that may require periodic maintenance and adjustment.
9. Indemnification
You agree to indemnify and hold harmless Coldhelm, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the services, your violation of these Terms, or your violation of any rights of a third party. We agree to indemnify you against claims arising directly from our gross negligence or willful misconduct in performing the services.
10. Data Handling & Security
During deployment, we may require temporary access to your server room, network infrastructure, and system accounts. We adhere to the following principles:
- Access is limited to what is necessary for deployment and configuration.
- We do not copy, retain, or transmit your data off-premises.
- Credentials shared with us should be rotated after deployment is complete. We strongly recommend this and will remind you during handoff.
- Inference runs locally on your hardware — your data stays on your machines.

11. Post-Setup Support & Hypercare
Every implementation includes a 14-day hypercare period covering setup-related issues only. During hypercare, we will address:
- Configuration issues identified after go-live.
- Performance tuning and optimization.
- Bug fixes related to the initial deployment.
Hypercare does not cover:
- Issues caused by changes you make to the cluster configuration after handoff.
- Hardware failures (covered by manufacturer warranty).
- New feature requests or changes beyond the original deployment scope.
- Issues caused by third-party software updates you apply independently.
For ongoing support beyond the hypercare period, subscribe to a Managed Care plan.
12. Dispute Resolution
Any disputes arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Florida, United States. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding. You agree to waive any right to a jury trial or to participate in a class action.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
14. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
